1. Re: RESOLUTION NO. ___________ - PROPOSED FIRST AMENDMENT TO EXECUTIVE DIRECTOR AGREEMENT NO E6666 WITH PORTS AMERICA CRUISE, INC.

SUMMARY: Executive Director Agreement No. E6666 (Interim Operating Agreement) with Ports America Cruise, Inc. (Ports America) provides for the operation, management, and maintenance of the Port of Los Angeles Cruise Terminal at Berths 90-93, San Pedro. The proposed First Amendment will extend the term of the Agreement an additional four months to terminated on May 31, 2013 and increase compensation by $762,900. The Interim Operating Agreement was entered into as a short-term interim solution so as not to disrupt cruise business at the Port of Los Angeles, during negotiations for a proposed long-term cruise terminal operating agreement. Negotiations for the proposed long-term agreement were expected to be completed by December 1, 2012. However, due to the unexpected devastation caused by Hurricane Sandy to Ports America’s cruise terminal in Manhattan, New York, their high-level personnel were not available to negotiate with Real Estate staff. Approval of the proposed First Amendment will allow for continued uninterrupted cruise terminal operations and the successful
 completion of negotiations for the long-term operating agreement. Negotiations with Ports America have recently resumed and are expected to be completed very shortly.
Recommendation: Board resolve to (1) find that in accordance with the Los Angeles City Charter Section 1022, it is more feasible for an outside contractor to perform this work than City employees. (2) approve the First Amendment to Executive Director Agreement No. E6666 with Ports America Cruise, Inc.; (3) authorize the Executive Director to execute and the Board Secretary to attest to the First Amendment to Executive Director Agreement No. E6666; and (4) adopt Resolution No. ____________.
